Tottenham Hotspur Ltd is a company registered in England and Wales and is part of a group of companies and organisations centred around our football club. In these Terms and Conditions, we use the term “Tottenham Hotspur” (and “we”, “us” and “our”) to refer to our group of companies and organisations including Tottenham Hotspur Ltd, Tottenham Hotspur Football & Athletic Co. Ltd, Tottenham Hotspur Women Football Club Limited, Tottenham Hotspur Stadium Limited, and Tottenham Hotspur Foundation.These Terms apply to the official Tottenham Hotspur Mobile App “Official Spurs App”. The purpose of these Terms and Conditions is to inform you of the terms and conditions that you must comply with when downloading, accessing, and using the Official Spurs App. Please read these terms and conditions carefully. We recommend that you print a copy of these Terms and Conditions for future reference. If you would like these Terms and Conditions in another format (for example: audio, large print, braille), please contact us using the contact details set out below. As our organisation changes, these Terms and Conditions are expected to change as well. We reserve the right to amend these Terms and Conditions at any time, for any reason, without notice to you, other than the posting of the amended Terms and Conditions on the Official Spurs App. You should check the Official Spurs App frequently to see the current Terms and Conditions that are in effect and any changes that may have been made to them. 1. About us and support The Official Spurs App is operated by Tottenham Hotspur Ltd, Tottenham Football & Athletic Co. Ltd and Tottenham Hotspur Stadium Ltd. The registered office and main trading address of each of these entities is Lilywhite House, 782 High Road, Tottenham, London, N17 0AP. Each of these entities is registered in England and Wales: Tottenham Hotspur Limited under company registration number 1706358; Tottenham Football & Athletic Co. Ltd under company registration number 00057186; and Tottenham Hotspur Stadium Ltd under company registration number 10151725. 2. Privacy 2.1 We will process information about you in compliance with all applicable data protection legislation, including the General Data Protection Regulation (GDPR) and UK Data Protection Act 2018 and in accordance with our Privacy Notice (accessible here) and these Terms and Conditions. By using the Official Spurs App, you warrant that all data provided by you is accurate, complete and up to date. 2.2 The Official Spurs App may allow you to create a profile page which can be accessed by other individuals accessing the Official Spurs App. By creating a profile page, you agree that other people may access the personal data which you share on the profile page and that you will comply with these terms in connection with all Content that you submit to your profile page (if any). 2.3 You agree to only use personal data posted by other users on the Official Spurs App strictly for lawful purposes and in accordance with these terms and all applicable laws. 2.4 We may collect and use technical data that might include, for example, the specifications of your device and its software in order to help us provide software updates, product support, and other services related to the Official Spurs App. If this information personally identifies you, we shall process it in accordance with our privacy notice. Otherwise, as long as it is in a form that does not personally identify you, we may use this information to improve products or to offer new services or technologies to you. 2.5 The Official Spurs App makes use of functionality on your device that can pinpoint your location. We do this in order to enable Stadium wayfinding and fan cam features within the App.[AD1] 2.6 When you open the Official Spurs App for the first time, and potentially at other times during your usage of the Official Spurs App (such as if you select to use a feature requiring location services and have previously opted out of location services), you will be asked whether the Official Spurs App can use your location and in what circumstances. 2.7 You can change your choices at any time in the Official Spurs App settings, or in your device’s settings, and you can also turn the location services off at any time. The Official Spurs App will still function if location services are off, but its functionality may be reduced. 3. Acceptable use of the Official Spurs App 4.1 Licence to Use the Official Spurs App 4.1.1 We are giving you personally the right to download, install and use the Official Spurs App and services contained therein as set out below on your device, provided that you observe and comply with these Terms and Conditions. 4.1.2 You acknowledge and agree that you do not own the Official Spurs App or any of its content, but you may use it as permitted by these Terms and Conditions and by the app store rules from which you downloaded the Official Spurs App. 4.1.3 You may not transfer the Official Spurs App to someone else, whether for money, for anything else or for free. If you sell any device on which the Official Spurs App is installed, you must remove the Official Spurs App from it. 4.1.4 The Official Spurs App is for your personal and non-commercial use only. 4.1.5 You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Official Spurs App. 4.1.6 You must comply with the app store rules from which you downloaded the Official Spurs App as well as these Terms and Conditions. If there is any conflict between them, you should follow the relevant app store rule rather than the equivalent rule set out in these Terms and Conditions. 4.2 Access to the Official Spurs App 4.2.1 We try to make the Official Spurs App as accessible as possible. Access to all or any part of the Official Spurs App may be restricted from time to time to allow for repairs, maintenance, and updating. We cannot therefore guarantee availability and uninterrupted access to the Official Spurs App and take no responsibility in relation to the same where such situations arise due to circumstances out of our control. 4.2.2 We are responsible for customer service in relation to the Official Spurs App and can help you if you are having any issues. You acknowledge that the app store from which you downloaded the Official Spurs App has no obligation whatsoever to provide any support or maintenance services in relation to the Official Spurs App. 4.2.3 If you have any difficulties using the Official Spurs App or need to get in touch with us, please contact us at supporterservices@tottenhamhotspur.com 4.2.4 If we need to get in touch with you, we will do so by email or an in-Official Spurs App notification. 4.3 User-Generated Content You must not post onto, submit or transmit to or otherwise make available any content or material including, without limitation, text, words, articles, data, statistics, graphics, images, photographs, illustrations, artwork, trademarks, names, logos, designs, audio, music or video ("Content") which: 4.3.1 is or may be considered to be defamatory, infringing, discriminatory, racist, threatening, offensive, obscene, harmful, aggressive, harassing, blasphemous, or pornographic; 4.3.2 does or might be considered to violate or infringe in any way the rights of others (including intellectual property rights, rights of confidentiality or rights of privacy) or cause distress harassment or inconvenience; 4.3.3 you do not own unless you have the express permission of the owner of the Content; 4.3.4 is unlawful or does not comply with all relevant laws; 4.3.5 is vulgar, crude, sexist, racist, xenophobic, anti-Semitic or incites racial hatred or is otherwise offensive; 4.3.6 is or could be technically harmful to the Official Spurs App, to us or to any other user or the operation of another's device or system; 4.3.7 constitutes or encourages criminal behaviour or acts or is contrary to any law; 4.3.8 does or might be considered to bring us or our name or trademarks or employees or officers into disrepute; or 4.3.9 encourages or incites any person to breach any of these terms. 4.4 User Contributions 4.4.1You acknowledge and agree that when you and other users submit Content to the Official Spurs App ("Contribution") other users may have the ability to comment on, criticise and disagree with such Contribution and can also vote whether they consider it to be a ‘good' or a ‘bad' Contribution. You acknowledge and agree that any user's Contribution (including your Contribution) which receives more than a certain number of ‘bad' votes, pre-determined by us from time to time in our sole discretion, will be hidden or deleted automatically from the Official Spurs App without notice to its contributor. 4.4.2 You acknowledge that we do not moderate actively or monitor Contributions. If you believe any Contribution by another user breaches any of the provisions set out in the terms then please notify us via the comment section within the Official Spurs App or by sending an email to us at supporterservices@tottenhamhotspur.com so that we may investigate it and, if we deem it appropriate, take action. 4.5 Prohibited Use You agree not to use the Official Spurs App: 4.5.1 for any illegal purpose under any applicable law, including in any way that promotes or encourages any illegal activity, including fraudulent activity; 4.5.2 to distribute viruses or malware or other similar harmful software code; 4.5.3 for extracting, scraping, crawling or collecting data by any means; 4.5.4 for use to generate prompts, requests, questions, instructions or similar in training AI models or any other form of automated content generation; 4.5.5 for the purposes of promoting unwanted advertising or sending spam; 4.5.6 for any ‘phishing’ activity (‘phishing’ meaning to mimic communications from us or from someone else in order to collect identity information, authentication credentials, or other information); 4.5.7 in any manner that disrupts the operation of the Official Spurs App, our business, or the or business of any other person or entity; 4.5.8 in any manner that is or could be harmful to children; 4.5.9 to advertise, sell or attempt to advertise or sell any illegal, stolen or counterfeit goods or services; 4.5.10 to falsely suggest that we endorse any business, product or service; 4.5.11 to gain unauthorised access to or use of computers, data, systems, accounts or networks; or 4.5.12 to attempt to circumvent password or user authentication methods. 4.6 Other Terms of Use 4.6.1 You will treat other users with respect and dignity and will not threaten, abuse, harass, bully, deceive, victimise, intimidate or express hatred towards any other user of the Official Spurs App or towards any individual or group of people. 4.6.2 You may not copy, download, reproduce, republish, broadcast, transmit in any manner whatsoever, any Content except as is strictly necessary for your own personal non-commercial use and expressly permitted by law. You agree not to use any part of the Official Spurs App or the Content contained in them in connection with any business or commercial activity or to post or upload any Content or make any contribution to the Official Spurs App which is or may be considered to be advertising or promotional of any goods or services. 4.6.3 You will not impersonate any person, or falsely or inaccurately suggest or indicate any connection, affiliation or relationship with any person or entity. You will not refer to any other person in any of your contributions unless you have previously obtained that person's consent to do so. 4.6.4 You will not carry out any activity in relation to the Official Spurs App or the Content which would or may be considered a criminal offence or give rise to any civil liability or infringe any rights of any third party or which may cause us to face any such liability and nor will you cause or encourage or procure any other person to do so. 4.6.5 You are solely responsible for all use of your login details including, without limitation, your username and password and for protecting their confidentiality. You must not share these details with anyone or allow anyone to use your login details. You must immediately notify us of any unauthorised use of or access to your login details. Unless you have told us in advance that your login details are being used without your authorisation and such communication has been acknowledged by us, any activity under or in connection with your login details will be your responsibility. 4.6.6 You represent and warrant that you are not: (i) located in a country that is subject to a UK Government, US Government, and/or EU embargo, or that has been designated by the UK Government, US Government, and/or EU as a ‘terrorist supporting’ country; and (ii) on any UK Government, US Government, and/or EU list of prohibited or restricted parties. If either of the situations in this condition apply to you, you are not permitted to download and use the Official Spurs App. 5. Operating System Requirements To download and use the Official Spurs App you must use a compatible device that meets the minimum technical requirements as set out below: iOS Devices: The App requires Apple devices running iOS version 16.0 or later. Android Devices: The App requires devices running Android version 10.0 or later 6. Updates to the App 6.1 From time to time, we may automatically update the Official Spurs App to improve performance, enhance functionality, reflect changes to the operating system or address security issues. We might also change or remove functionality but if we do that, we will ensure that the Official Spurs App still meets the description of it that was provided to you at the time you downloaded the Official Spurs App. Alternatively, we may ask you to update the App for these reasons. 6.2 Updates will either download automatically, or you may need to trigger them yourself, depending on your device and its settings. 6.3 We strongly suggest that you download all updates as soon as they become available. Depending on the nature of the update, the Official Spurs App may not work properly (or at all), or you may be exposed to security vulnerabilities if you do not keep the Official Spurs App updated to the latest version that we make available. If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using the Official Spurs App as we cannot guarantee support for outdated versions. 7. Intellectual Property 7.1 Unless otherwise stated, all copyright, trademarks, database rights and all other intellectual property rights in the Official Spurs App and in all Content comprising the Official Spurs App (except Contributions) is owned by and shall remain at all times vested in us or our licensors. You are permitted to use the Official Spurs App and the Content only as expressly authorised in writing by us or our licensors or in accordance with these Terms and Conditions. 7.2 You may not use or reproduce in any form our signs, trademarks, logos or trade names. 7.3 The names, trademarks, images and logos identifying us or third parties and our or their products and services are subject to copyright, design rights and trademarks owned by us and/or the relevant third parties. These terms do not give you any licence or right to use any of our trademarks, design rights or copyrights or those of any third party (and shall not in any circumstances whatsoever be considered to do so). 8. External Links and Third-Party Websites The Official Spurs App may contain links to other independent websites which are not provided by us. You acknowledge and agree that: 8.1 we are not responsible for the availability, accuracy, appearance or content of any third-party website or Content which you access on, through, or from links on the Official Spurs App, such sites or Content are not owned or controlled by us and are outside of our control; 8.2 we do not endorse and are not responsible or liable for any Content, advertising, products or services on or available from third party websites, advertisers or partners. Adverts or links on the Official Spurs App do not mean and should not be taken to indicate any endorsement by us of such websites or third-party goods or services; and 8.3 we are not responsible or liable for any damage, loss or offence caused or alleged to be caused by or in connection with your use or reliance on any Content, Contribution, advertising, goods or services available on or from third party websites, advertisers or partner. All dealings between you and any advertisers, sponsors or third parties found on or via the Official Spurs App are solely between you and such third party. You agree not to hold us liable for any loss or damage or any losses incurred as a result of your dealings with such persons. 9. Our liability to you 9.1 We are not responsible for and give no endorsement of any Content, Contribution, materials, comments or feedback posted or published on the Official Spurs App by you or by other users. We will not be responsible in any way for any injury, loss or damage which occurs as a result of an opinion expressed or information provided on the Official Spurs App by you or by any other third party. If you have any claim arising from the actions or statements of another user, you agree to pursue such a claim only against that user and not against us. By their very nature forums, chat areas and boards are outside of our control and may contain inaccurate, false or inappropriate materials so please take care when using them. 9.2 To the extent permitted by law, we make no warranty, nor any endorsement or representation in respect of any Contribution and we exclude all implied warranties as to the accuracy, correctness, timing or reliability of any information, statements, advice and opinions given by users of the Official Spurs App (including any Contribution) which are those of such users only. 9.3 We do not monitor or moderate actively Contributions, but we reserve the right to do so. [PS2] [AD3] We may respond to, comment upon, edit, remove or block any Contribution or Content posted, published or uploaded by you or any other user at our absolute discretion. 9.4 Whilst we will not be moderating or monitoring actively the [PS4] [AD5] Official Spurs App, if we become aware of or are notified about any Content or Contribution which is not in compliance with these terms then we will, at our discretion, have the right to edit, amend, delete and/or remove such Content and/or Contribution, temporarily or permanently, and take any other action that we deem appropriate without notice to you. 9.5 We may from time to time take down, remove, suspend or restrict access to the Official Spurs App and/or the Content comprising them and/or any part of them without prior notice or any liability to you. We have the right to change the Content, the Official Spurs App and any aspect of them from time to time at our discretion. 9.6 We will endeavour to provide the Official Spurs App using reasonable care. However, to the extent permitted by law, we make no representations nor give any warranties in respect of the Official Spurs App or the Content comprising them and we exclude all implied warranties as to quality, accuracy or fitness of the Official Spurs App and the Content comprising them. We do not warrant that the Content, the Official Spurs App, and any of the functions contained therein and the servers hosting the Official Spurs App will operate without interruption or delay or will be error free, free of viruses or bugs or compatible with any hardware, software or materials. 9.7 We may update, suspend, delete and change the Content within or the functionality of the Official Spurs App at any time without notice or liability to you. 9.8 We make no representation and expressly exclude all conditions or warranties, express or implied, including but not limited to the quality, performance and fitness for purpose of all items and Content made available on the Official Spurs App to the full extent permitted by the laws of England and Wales. 9.9 The Official Spurs App relies on a number of things working properly to enable you to enjoy all of its features. Many of these, such as your internet connection, your device and the app store from which you downloaded the Official Spurs App, are entirely outside of our control. Although we will do everything we reasonably can to resolve issues, we are not responsible to you if you are unable to use all or any part of the Official Spurs App due to a poor internet connection, faulty components in your device (such as a faulty camera), app store failure or anything else that it would not be reasonable to expect us to control. 9.10 We shall not be liable in contract, tort, negligence or otherwise for any loss or damage whatsoever in any way connected with your use of or access to the Official Spurs App, any inability to access the Official Spurs App, any failure or inability to complete a transaction, any technical, network, electronic, device hardware or software failure of any kind, whether direct or indirect, including, damage to software or hardware, damage for loss of business, loss of profits, or any other consequential loss. 9.11 Nothing in these terms or conditions shall exclude or limit our liability for death or personal injury resulting from our negligence, from fraud or fraudulent misrepresentation or any other matter for which it would be illegal or unlawful to exclude or attempt to exclude our liability. 9.12 If this paragraph 9 is unenforceable in whole or in part then, subject to paragraph 9.10, in view of the fact that we provide the Official Spurs App to you without charge our total liability to you for all damages, losses, claims and expenses suffered by you as a result of our breaking these Terms and Conditions shall be no greater than £5 (Five Pounds Sterling) for one incident or series of incidents attributable to the same cause. 9.13 If either you or we fail to comply with these Terms and Conditions, then that person shall not be responsible for any losses that the other suffers as a result, except for those losses which are a foreseeable consequence of the failure to comply with these Terms and Conditions. 10. Your responsibility to refund Us (Indemnity) You agree to indemnify us (refund) against all claims, liability, damages, costs and expenses, including legal fees, which we or our employees, officers and agents incur, directly or indirectly, from your failure to comply with these terms or arising out of your use of the Spurs Websites or from your posting, publication or uploading of any Contribution on the Spurs Website. 11. Registration 11.1 You will be required to register with us before you can access or use some parts of the Official Spurs App. By registering with us or otherwise indicating your acceptance of these Terms and Conditions you are also verifying that: 11.1.1 you are at least 13 years old; 11.1.2 the information which you provide when you register is true, accurate and complete; 11.1.3 you will keep such information up to date; and 11.1.4 these terms apply to you, and you accept them fully. 11.2 We reserve the rights to refuse your application to register and to cancel your registration for the Official Spurs App at our sole discretion at any time. 12. Your failure to comply with these Terms and Conditions 12.1 If you: 12.1.1 act inconsistently with or in breach of the Terms and Conditions; 12.1.2 fail to act in accordance with the Terms and Conditions at any time; 12.1.3 at any time violate or attempt to violate any of our rights or any rights of any other user of the Official Spurs App or of any other third party; 12.1.4 provide incorrect or inaccurate details on registration or fail to keep your registered details up to date; or 12.1.5 are engaged in any fraudulent, dishonest or unlawful activity or activity unacceptable to us, or, if acting reasonably, we suspect that you are engaged in any fraudulent, dishonest or unlawful activity or an activity unacceptable to us, THEN WE MAY DO ALL OR ANY OF THE FOLLOWING (AT OUR SOLE DISCRETION): (i) issue a warning to you;(ii) suspend you from using the Official Spurs App or any part of it;(iii) terminate your right to use the Official Spurs App or any part of it;(iv) cancel your registration(s) and refuse to allow you to register for the Official Spurs App in the future;(v) terminate your registration(s) and rights to use any other services provided by us or our affiliates;(vi) take appropriate legal action against you; and/or(vii) at our discretion or if we are required to do so, disclose your personal details to our solicitors, to law enforcement and to regulatory authorities and in accordance with any Court Order and to other users or third parties whose rights you have or might have in our reasonable opinion violated or infringed in any way. 12.2 You may cancel your registration with us at any time by sending an email to website@tottenhamhotspur.com with the subject "unregister", details of your user name and stating that you wish to cancel your registration. If you continue to use the Official Spurs App, then these Terms and Conditions will continue to apply to you and your use of the same. 13. General 13.1 If any of these Terms and Conditions are determined to be invalid or otherwise unenforceable by reason of the application of any law, such provisions shall be severed and deleted from these terms and the remainder of these terms shall continue to have full force and effect. 13.2 These Terms and Conditions do not create or confer any rights or benefits under the Contracts (Rights of Third Parties) Act 1999 which are enforceable by any person who is not a party to these terms. 13.3 Any failure or delay by either party in enforcing or partially enforcing any provision of these terms shall not be taken to be a waiver of any of that person's rights under these Terms and Conditions or any law. 13.4 Notices shall be sent by us to the e-mail address which you provide on registration. Notices sent by you to us shall be sent to Notice e-mail and a copy sent to our address set out in paragraph 1 above. Notices shall be deemed to have been delivered at the confirmed time of the e-mail being actually received. 13.5 These Terms and Conditions are governed by the laws of England and Wales. Both you and we hereby submit to the exclusive jurisdiction of the courts of England and Wales.
